The Contracts Counsel will serve as a primary point of contact with internal and external parties in relation to contract negotiation, contract management, contract compliance, contract issues, privacy, patent and trademark, and other legal support.
Responsibilities include:
  • Own, manage and maintain our various standard agreements.
  • Manage the entire corporate contracting process from request, review, negotiation, approval, signature and archival.  Review and provide edits on confidentiality agreements and customer contracts, consulting with corporate counsel, as needed.
  • Respond to complex inquiries regarding contract terms and conditions as well as well as contract processing requirements and guidelines.  Support sales staff with user issues related to our terms and conditions.
  • Streamline redlining process via development and maintenance of a playbook of accepted edits for each contract type.  Prepare regular reports regarding contract status, compliance and modifications/amendments to review with management personnel.
  • Maintain privacy policy and certifications.  Monitor privacy shield status, GDPR requirements and determine suitable additions to our contract terms as needed.
  • Oversee our vendor management process to ensure compliance with contracts and security requirements.
  • Maintain centralized filing processes and reports for various types of contracts.  Manage administrative functions, such as entering information into electronic databases, organizing and maintaining files.  Assist, as needed, to facilitate timely and responsible processing of contract documentation.
  • Assist with implementation and management of an automated contract management system, create new contract templates and assist with legal research.
  • Supervises and trains contracts staff.
  • Assist with other corporate projects, as needed.
Required Skills:
  • Ability to follow contract guidelines and approval procedures with independent judgment to exercise individual discretion when appropriate.
  • Demonstrate a solid knowledge of contract law as it applies to software-as-a-service (SaaS) agreements worldwide, including, data privacy, and other developing areas of Internet law.
  • Experience with managed service providers a plus.
  • Excellent analytical skills, legal drafting skills as well as verbal and written communication skills, and the ability to interact effectively with customers, sales people, and operational teams.
  • Ability to propose creative solutions to resolve contractual concerns.
  • Self-motivated and resourceful team player with excellent interpersonal and organizational skills and attention to detail.
  • Strong task management experience with a proven track record of meeting project deliverables and timelines.
  • Strong computer skills (Word, Excel and PowerPoint).
  • Ability to maintain strict confidentiality of all internal and external affairs.
  • Strategic thinking, influencing, problem solving, and decision making skills.
  • High sense of diligence and ability to effectively multi-task several complex assignments with tight deadlines.
Required Experience:
  • Minimum of ten (10) years of direct experience drafting and negotiating software and staffing agreements.
  • Minimum of five (5) years of direct supervisory experience.
  • Working knowledge of computer software technology and the software industry.
  • In-House Legal or Finance (in a similar function) Department experience required.
  • Relevant contracts management certification (preferred)
  • J.D required, admitted to Massachusetts Bar.
